«1. Citation. These Regulations may be cited as the Multiform Foundations (Amendment) Regulations, 2024 and shall come into effect on the 1st day of April, 2025. 2. Interpretation. In these Regulations, “Regulations” means the Multiform Foundations (Amendment) Regulations, 2014. 3. Repeal. These Regulations repeal and replace the Multiform Foundations (Amendment) Regulations, 2023. 4. Amendment of Regulation 3. Regulation 3 of the Regulations is amended as follows: (a) by deleting Regulation 3(2) in its entirety and replacing it as follows: “(2) A foundation shall file its Annual Return, together with the prescribed annual fees before the anniversary date of its registration. (b) by deleting Regulation 3(3) in its entirety and replacing it as follows: “(3) A foundation which fails to file its Annual Return, together with the annual fees as prescribed shall be subject to an additional charge as a penalty for late filing of its Annual Return and annul fees as follows: (a) if the Annual Return is filed one month after, but before the expiration of six months from the due date, the penalty payable shall be EC$540.00 or US$200.00; …»

«17. (1) The business and affairs of a multiform foundation shall be managed by a management board which shall consist of one or more persons and, unless the constitution provides otherwise, every member of the management board shall have an equal vote at any proceedings of the management board. (2) Subject to subsection (5), the first members of the management board of a multiform foundation shall be appointed upon establishment of the multiform foundation. (3) Subject to subsections (2) and (9), the appointment and removal of members of the management board shall be effected in accordance with the provisions of the constitution or otherwise the provisions of this Ordinance. (4) The remuneration of the members of the management board shall be fixed in accordance with the provisions of the by-laws of the multiform foundation; and any dispute in respect of the amount of the remuneration of the members of the management board may be referred by any member of the management board or the supervisory board or the auditor (if any) to the Court which shall determine the remuneration. …»
