«216.(1) Every company shall have a secretary and in this section and section 217, except where the context otherwise requires, any reference to a secretary includes a reference to two or more joint secretaries or, as the case may require, one of them. (2) A sole director of a company shall not also be the secretary of that company. (3) If there is no secretary for the time being or for any other reason there is no secretary capable of acting, anything authorised to be done by or to the secretary may be done by or to any assistant or deputy secretary or, if there is no assistant or deputy secretary capable of acting, by or to a person authorised generally or specifically in that behalf by the directors. (4) No company shall have– (a) as secretary to the company a corporation, the sole director of which is a sole director of the company; (b) as sole director of the company a corporation, the sole director of which is secretary to the company.
