# PayPal Bank: a giant's return to the banking system through an ILC

PayPal spent twenty years in the status of an almost-bank: hundreds of millions of accounts, payments all over the world — and someone else's banking licence under every product. [On December 15, 2025](https://newsroom.paypal-corp.com/2025-12-15-PayPal-Submits-Applications-to-Establish-an-Industrial-Bank-to-Expand-Access-to-Financial-Services-for-U-S-Small-Businesses) the company filed applications for a bank of its own — PayPal Bank, with a Utah state charter and FDIC insurance — and the picture for the whole ecosystem began to change.

For sellers and freelancers this is a future deposit home with a familiar interface. For those who design financial groups it is a model case in charter selection: why a mature fintech goes for an ILC and exactly what it wins by doing so.

## Background

PayPal grew out of Peter Thiel and Max Levchin's Confinity \(1998\) and Elon Musk's the original X payments company; after the merger and the IPO the company was bought by eBay in 2002, and in 2015 PayPal returned to the market as an independent giant. Along the way the group assembled Braintree, Venmo and Honey, and [in Europe it has operated since 2007 through its own Luxembourg bank](https://newsroom.paypal-corp.com/2007-05-15-PayPal-Expands-European-Growth-With-Bank-Charter-and-New-European-Headquarters), PayPal \(Europe\) S.à r.l. A US banking licence, however, the group has never had.

Since September 2023 the company has been run by Alex Chriss, who came from Intuit with a mandate to pivot towards profitability. The scale, per the second-quarter 2026 report: 439m active accounts, revenue of $8.68bn and payment volume of $486.4bn for the quarter; market capitalisation as of August 2026 is ≈$51bn.

The banking application is embedded in Chriss's broader design. In the summer of 2025 the group unveiled the [PayPal World platform](https://newsroom.paypal-corp.com/2025-07-23-Introducing-PayPal-World-a-global-platform-connecting-the-worlds-largest-payment-systems-and-digital-wallets,-starting-with-interoperability-to-PayPal-and-Venmo) — interoperability with UPI, Mercado Pago and Tenpay Global, close to 2bn users in total — while also developing agentic commerce with OpenAI and an advertising business. In this picture a bank of its own closes the last rented floor: deposits, credit and settlement return inside the group's perimeter.

## Products and pricing

Today's line-up lives entirely on partners, and the pricing underlines it. PayPal Savings pays 3.30% APY \(the rate as of June 2026, variable\) with no minimums and no monthly fees — the money, meanwhile, sits at Synchrony Bank, where the PayPal Credit line is also lodged.

The credit block is held by WebBank. PayPal Working Capital: from $1,000 to $200,000 for a first loan \(up to $300,000 on repeat\) for a single fixed fee, repaid as a share of revenue with a minimum of 5–10% of the debt every 90 days; the entry threshold is an account at least 90 days old and annual sales from $15,000 for Business \(from $20,000 for Premier\). Alongside it is the PayPal Business Loan \(branded LoanBuilder\) at $5,000–150,000 with fixed weekly payments; US originations were running at ≈$600m a quarter as far back as Q3 2025.

A separate line is the stablecoin PYUSD, with a 4% annual reward for holding it in the app \(variable rate, paid monthly, threshold of 1 PYUSD\); legally this is a platform reward, not interest from the issuer. The issuer is Paxos Trust; circulation as of summer 2026 is ≈$2.7–2.8bn after a March peak of $4.2bn, and the coin is deployed on 17 networks \(≈73% of supply on Ethereum, Stellar already live\), with Solana designated the default payment network since February 2026. The economics for the group are transparent: at the $4.1bn peak, reserves in T-bills at ≈4% delivered on the order of $176m of annual float income before costs; in February 2026 the PYUSDX platform was added — the issuance of branded stablecoins on the PYUSD base together with MoonPay and M0.

The consumer wing is carried by Venmo: the service's revenue grew ≈20% year on year \(Q1 2025\), active debit-card holders were up ≈40% and Pay with Venmo volume rose over 50%; annual TPV passed $325bn. For the future bank this is a ready-made deposit and card audience sitting next door to the business customers.

The future PayPal Bank will move the core of the line-up onto its own balance sheet. The application announces interest-bearing deposit accounts, in-house SMB lending — since 2013 the group has issued over $30bn of loans and working capital to more than 420,000 business accounts — and direct membership in the card networks for processing and settlement without intermediary banks. The bank's pricing has not been published; the reference point is the current terms, which the group will be able to improve using the margin it recovers.

## Competitive landscape

Block blazed the trail: Square Financial Services received conditional FDIC approval in March 2020 and began operations on March 1, 2021 as Utah's sixteenth industrial bank — the first ILC created by a fintech. The bank runs Square Savings and Square Loans and builds its underwriting on the seller's real-time payment data flow; that is exactly the mechanism PayPal describes in its own application.

Five years of operation have shown both the ceiling and the potential of the model. In March 2025 the FDIC allowed Square Financial Services to offer the consumer product Cash App Borrow directly from the bank's balance sheet — ILC powers are expandable if the bank passes its examinations cleanly. In total Block has passed $200bn of credit originated; a notable share of the loans, though, is sold to investors, and the bank's balance sheet stays compact.

The queue for charters is long: Nissan \(applied June 2025\), Affirm with a Nevada ILC \(applied January 23, 2026\), and Rakuten, which has been pursuing a charter since 2019; in the first half of 2026 the FDIC approved insurance for new ILCs from Ford, GM, Stellantis and Edward Jones. PayPal stands out for the scale of its distribution — 439m accounts against the niche audiences of carmakers and brokers — and will therefore be the principal test of the regulator's appetite.

## What it means for the client

For active participants in the ecosystem — sellers, freelancers, small businesses — a full deposit home will appear: balances will sit in an insured bank belonging to the group itself, with no chain of intermediaries. Complaint handling will also get simpler: disputes over frozen funds will be with a bank that has a regulator and formal procedures.

Onboarding promises to stay characteristically light. Even now a Working Capital application takes minutes: the decision is issued in seconds off PayPal sales history, with no check of personal credit scoring, and the money lands in the business account almost instantly. The bank will get the same mechanism plus ready-made KYC on hundreds of millions of wallets — opening an account will come down to a couple of screens in the app, with no branches and no paperwork.

What to monitor: the deposit rate after the move from Synchrony, limits and hold rules, and above all the fate of non-resident balances. PayPal's history with account freezes is well known; bank status will add procedural robustness to the protection of funds, while the rules of the game for foreign clients will only become visible after launch.

## Under the hood

The main subtlety is the type of charter. The ILC is a construct from the Competitive Equality Banking Act of 1987: a state banking licence \(Utah, Nevada and a few other states\) with FDIC insurance, under which the parent group remains outside the Bank Holding Company Act. There is no Fed holding-company supervision; that is the whole point of the exercise — a commercial group keeps its freedom across its other businesses, from payments to crypto.

The second layer is the mechanics of the current rental arrangement. In the tie-up with WebBank the partner bank is the lender of record, while PayPal handles marketing, scoring and servicing, then buys the originated loans onto its own balance sheet. The scheme works, only every dollar of margin is shared with the licence holder, and the product line-up is bounded by the partner's appetite.

Hence the third calculation — the economics. Moving deposits and loans onto its own balance sheet returns the interest margin to the group, removes the licensing rent and makes it possible to fund loans with insured customer deposits. The choice of leadership is telling: Mara McNeill has been named president of the bank, the former CEO of Toyota Financial Savings Bank — one of the few operating ILCs; she has already run precisely this construct.

## Regulation and status

The timeline: applications to the Utah Department of Financial Institutions and the FDIC were filed on December 15, 2025. The very next day the ICBA demanded a denial for PayPal and the other big-tech applicants: the community bankers' association holds that the owner of a full-service bank must bear the same restrictions as any bank holding company, and cites a Morning Consult survey \(61% of Americans see banks owned by commercial companies as increasing systemic risk\). On January 30, 2026 the Bank Policy Institute joined in: a joint letter with the ICBA calls the ILC a loophole in the BHC Act, recalls that in 1987 the largest ILC held ≈$410m of assets against today's giants, and asks the FDIC to reject the application and Congress to close the exception altogether.

The regulatory wind, however, is blowing the other way. Under Travis Hill the FDIC continues to accept filings and issue approvals: in the first half of 2026 insurance went to ILCs from Ford, GM, Stellantis and Edward Jones. The fate of PayPal Bank rests with the Utah regulator and the FDIC; the Fed is absent from the scheme, and as of August 11, 2026 the application remains pending.

A piquant detail: PayPal already holds a banking licence — a Luxembourg one, since 2007, for the European business. The US application closes the last hole in the perimeter: the home market, where the group has worked through other parties' balance sheets for twenty years.
